Asahi Kasei Homes Corp.

Asahi Kasei Homes concluded an agreement to acquire 100% ownership of Brewer Companies, LLC, Brewer Enterprises, Inc., Brewer Commercial Services, LLC, JBKB LLC (dba Benjamin Franklin Plumbing), and T-Plug LLC (the 5 companies collectively referred to as “Brewer Companies”), a premier Arizona residential plumbing group, through a US subsidiary on November 5, 2021 (US Eastern time), and completed the acquisition on November 18, 2021 (US Eastern time).

While strengthening its core business of order-built homes in Japan, Asahi Kasei Homes considers overseas business to be an important source of additional growth. In November 2018, Asahi Kasei Homes acquired full ownership of Erickson Framing Operations LLC (hereinafter “Erickson”), an Arizona-based supplier of prefabricated building components. In September 2020, Asahi Kasei Homes acquired full ownership of Austin Electric Services, LLC, Austin Concrete & Stone, LLC, and Austin HVAC, LLC (hereinafter “Austin Companies”), an Arizona residential electrical, concrete, and HVAC group. Since then Asahi Kasei Homes has leveraged its systemization know-how to grow the combined business as a supplier able to efficiently coordinate a wide range of fabrication and construction processes.

The Brewer Companies have provided high-quality plumbing services in Arizona for over 30 years, earning a strong reputation among builders. The acquisition of the Brewer Companies was agreed based on expectation of mutual positive synergies with Erickson and the Austin Companies, enhancing the achievement of high-quality fabrication and construction in shorter time frames.

The Brewer Companies will continue to be managed by the current management team. The impact of this acquisition on the consolidated financial performance of Asahi Kasei Corp. is immaterial.
